2. NATURE OF PLATFORM & INTERMEDIARY STATUS

2.1 Pure Technology Intermediary: The Vendor expressly acknowledges that www.mylocalbazaar.in operates purely as a neutral digital intermediary and technology aggregator under Section 79 of the Information Technology Act, 2000. The Platform provides a digital marketplace to connect independent local Vendors with local Buyers. 

2.2 No Principal-Agent Relationship: The contract for the sale of goods/services is strictly a bipartite agreement executed directly between the Vendor and the Customer. The Platform is not a party to such transactions, assumes no liability for product performance or quality, and acts neither as a buyer, seller, nor agent of either party. 

3. COMMERCIAL MODEL & PAYMENT SETTLEMENT (CURRENT & FUTURE) 

3.1 Current 0% Commission & Direct Payment Phase: Zero Commission: During the initial operational phase, the Platform charges zero percent (0%) listing fee or commission on transactions generated through the site. Direct Payment Routing: Payments from Customers shall be collected directly by the Vendor via the Vendor’s selfconfigured payment gateways, direct bank transfer, UPI IDs, QR codes, or Cash on Delivery (COD) as configured on the Vendor’s profile. Zero Escrow Liability: The Platform does not hold, aggregate, or process Customer payments during this phase and bears zero financial liability regarding payment delays, failed transfers, or buyer chargebacks. • • • www.mylocalbazaar.in | Confidential & Proprietary Page 1 of 3 

3.2 Strategic Rights to Future Commercial Structure Updates (Amazon/Flipkart Model Pivot): The Vendor explicitly acknowledges and agrees that www.mylocalbazaar.in reserves the absolute right to update, modify, or transition its commercial architecture at any future date. This includes, but is not limited to: Introducing percentage-based or flat commission fees per order transaction. Implementing integrated centralized payment gateways where funds are collected by the Platform and settled net of commissions, TDS, and TCS to the Vendor’s bank account. Mandating integrated logistics, fulfillment, and shipping partner services. Notice Period: The Platform shall notify Vendors in writing or via electronic mail/dashboard alert at least fifteen (15) days prior to implementing any commercial model changes. Continued listing after the effective date constitutes full acceptance of the revised commercial terms. 

4. VENDOR ONBOARDING, VERIFICATION & STATUTORY COMPLIANCE 

4.1 Onboarding & KYB Verification: Vendors must provide complete, authentic, and updated business details, including Legal Business Name, PAN Card, Aadhaar/Identity Proof, Registered Business Address, and Active Bank/UPI Account credentials. 

4.2 Tax & GST Compliance: The Vendor is solely responsible for determining applicable statutory taxes (GST, Cess, local levies) and issuing tax invoices directly to the Customer for every sale. If required under GST or Income Tax laws for marketplace operations, the Vendor agrees to provide a valid GSTIN and co-operate with all statutory Tax Collected at Source (TCS) or Tax Deducted at Source (TDS) reporting procedures as may become applicable. 

4.3 Licensing (FSSAI & Regulatory): Vendors selling food items, pharmaceuticals, or regulated products guarantee that they hold valid licenses (e.g., FSSAI registration/license) and shall display licensing details on their store front as legally required. 

5. PRODUCT LISTINGS, ACCURACY & INTELLECTUAL PROPERTY 

5.1 Listing Standards: Vendors shall ensure all product titles, descriptions, pricing, stock availability, images, and statutory disclosures (e.g., Country of Origin, Expiry Dates, MRP) are accurate, complete, and not misleading. 

5.2 Prohibited Goods: Vendors shall not list counterfeit goods, stolen merchandise, unsafe items, weapons, narcotics, offensive materials, or items infringing on third-party intellectual property or trade secrets. 

5.3 Intellectual Property Indemnity: Vendors warrant that all images, logos, and product content uploaded do not violate third-party copyrights or trademarks. Vendors grant www.mylocalbazaar.in a non-exclusive, royalty-free license to display their trademarks and listing media for marketplace operational and marketing purposes. 

6. ORDER FULFILLMENT, RETURNS, DISPUTES & CONSUMER PROTECTION 

6.1 Fulfillment Responsibility: Under the current operational phase, the Vendor is 100% responsible for packaging, shipping, local delivery, and ensuring orders reach Customers safely within promised timelines. 

6.2 Return, Refund & Cancellation Policy: Vendors must clearly state their store’s return and refund policy on their store page. Vendors are solely responsible for executing refunds directly to Customers in accordance with their stated policy and Consumer Protection regulations. 

6.3 Grievance Compliance (E-Commerce Rules 2020): Vendors agree to cooperate fully with the Platform’s designated Grievance Officer in resolving Customer complaints, buyer queries, or defective product claims within forty-eight (48) hours of receipt. • • • • • www.mylocalbazaar.in | Confidential & Proprietary Page 2 of 3 

7. INDEMNIFICATION & LIMITATION OF LIABILITY 

7.1 Indemnification: The Vendor agrees to defend, indemnify, and hold harmless www.mylocalbazaar.in, its directors, owners, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, penalties, or expenses (including legal fees) arising from: Vendor’s breach of any applicable Indian laws or statutory regulations. Product defects, personal injury, property damage, or consumer claims relating to goods sold by the Vendor. Infringement of third-party intellectual property rights by Vendor product listings. Tax defaults or failure to remit statutory duties. 

7.2 Limitation of Platform Liability: Under no circumstances shall www.mylocalbazaar.in be liable to the Vendor for any indirect, incidental, consequential, or lost profit damages arising out of site downtime, payment processing delays, or technical failures. 

8. TERM, SUSPENSION & TERMINATION 

8.1 Term: This agreement commences upon digital acceptance by the Vendor and remains valid until terminated by either party. 

8.2 Termination for Convenience: Either party may terminate this agreement by providing seven (7) days written notice or by requesting account deactivation. 

8.3 Immediate Suspension/Termination: The Platform reserves the right to immediately suspend or terminate a Vendor’s store front without prior notice in cases of fraudulent activity, Customer complaints regarding counterfeit goods, non-compliance with laws, or breach of safety standards. 

9. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any legal disputes, claims, or arbitration proceedings arising out of or in connection with this Agreement or platform operations shall be subject to the exclusive jurisdiction of the competent courts situated in the city/district of the Platform Owner’s registered operational headquarters. 

10. DIGITAL EXECUTION & ACKNOWLEDGMENT

By registering as a seller on www.mylocalbazaar.in and checking the acceptance box during account creation, the Vendor confirms that they have read, understood, and agreed to be legally bound by all terms, conditions, and future modification rights set forth in this Vendor Master Services Agreement.
